If you’re a MAPFRE shareholder, you’re eligible to receive an extra dividend

The Group has increased its shareholder remuneration. After recording another year of excellent results, the company has proposed increasing the dividend to record levels, with a final dividend of up to 9.5 gross cents per share, leaving the total dividend against fiscal year 2024 at 16 cents a share. The total amounts to 492.7 million euros, representing a payout (percentage of profits distributed among shareholders) of 54.7%.

But the good news for the nearly 200,000 shareholders (44% of MAPFRE employees in Spain are Group shareholders) doesn’t stop there. In addition, and for the first time, MAPFRE has proposed the payment of a “participation dividend” to the Annual General Meeting of 0.0015 euros gross per share, payable to all shareholders. However, subject to the quorum of constitution of the Annual General Meeting reaching at least 81% of the share capital, on the condition that the quorum for the forthcoming Annual General Meeting reaches at least 81% of the issued share capital.

Why does MAPFRE offer this extra dividend?

The participation dividend is part of the set of initiatives that MAPFRE is promoting to achieve greater shareholder involvement and participation in corporate decisions and in corporate life. 

What is the payment conditioned on?

All holders of shares on March 7, 2025will receive this dividend regardless of whether or not they participate in the Annual General Meeting. However, it is advisable to participate because in order to collect that dividend, the quorum of constitution of the Annual General Meeting must reach at least 81 percent of the share capital.

Who can participate in the Annual General Meeting?

Shareholders who, individually or jointly with other shareholders, hold a minimum of 1,000 shares as on March 7 may attend the Annual General Meeting (in person or online).

Shareholders with less than 1,000 shares may:

  • Exercise remote voting.
  • Join together with other shareholders until at least that number (1,000) is reached. The group must appoint a representative among themselves and notify the Secretary of the Company’s Board of Directors five business days prior to the Annual General Meeting, by means of a letter signed by all of the group’s shareholders, which must include the name and signed acceptance of the shareholder representative. This representative shall be the person attending the Annual General Meeting in person and exercising the right to vote on behalf of the group of individual shareholders.

How do I vote remotely?

Shareholders wishing to use this voting procedure must prove their identity using one of these three options: 

  • A valid electronic National Identity Document.
  • A recognized electronic certificate, for which no revocation is recorded, issued by Spain’s FNMT.
  • The user or access credentials that the shareholder will receive from the Company at the email address provided during the completion of the access request form available on the Company’s corporate website, after having verified their identity.

Voting rights can also be exercised by postal mail. The vote shall be conferred by filling in the attendance card included in the Remote Voting section issued by the custodian institution or the attendance card the Company makes available to shareholders on the Company’s corporate website in the space dedicated to the Annual General Meeting 2025.
