Mapfre’s Board of Directors this Wednesday ratified the appointment, with effect from October 30, of Ana Isabel Fernández Álvarez as second vice chairwoman of the Board of Directors and the Steering Committee, and as independent lead director of Mapfre S.A. Ana Isabel will replace Catalina Miñarro Brugarolas, who has served the maximum term allowable as a member of the Board. The Board also appointed Ana Isabel Fernández as chairwoman of the Appointments and Remuneration Committee.

The Board expressed its gratitude to Catalina Miñarro, who has been a member of this body since October 30, 2013, for her commitment and dedication down through the years.

The Board also approved the appointment, by way of co-option, of María de los Ángeles Santamaría Martín as a new independent director. Santamaria, who has a background in engineering, has spent virtually her entire career in the electricity sector, where she served in numerous important management positions.

“It’s very important for Mapfre to have a diverse, gender-balanced Board with broad cross-disciplinary knowledge in order to carry out its duties in a fully independent, capable manner. These appointments reinforce such objectives and broaden the already vast knowledge of Board members,” says Antonio Huertas, Mapfre chairman and CEO.

The Board of Directors also approved a resolution that Catalina Miñarro’s seat on the Steering Committee should be held by María del Pilar Perales Viscasillas, and that her seat on the Appointments and Remuneration Committee should be held by Francisco Marco Orenes.

Ana Isabel Fernández Álvarez holds a degree in Economics and Business from the University of Oviedo. She has been a member of the Corporate Reporting Advisory Committee of the European Securities Authority, a member of the Board of Trustees of the Banco de Sabadell Foundation, a member of the Board of the National Securities and Exchange Commission (2010-2014), a member of the European Securities and Exchange Authority (2011-2013) and a member of the Consumer Protection and Financial Innovation Sub-Committee of the Joint Committee of the European Banking, Insurance and Securities Authorities (2012-2014). She is currently an independent director of Mapfre S.A., as well as a member of its Steering Committee, its Audit Committee, its Risk, Sustainability and Compliance Committee and its Appointments and Remuneration Committee. In addition, among other positions, she is a director of Mapfre RE, Mapfre ESPAÑA and Mapfre VIDA, as well as of the Sociedad Rectora de la Bolsa de Valores de Madrid, S.A. She is also general manager and Rector of CUNEF, president of the Board of Trustees of the Princesa de Asturias Foundation and president of Financial Economics at the University of Oviedo.

María de los Angeles Santamaría Martín holds a degree in Engineering, with a specialization in electrical engineering, from the Comillas Pontifical University. She also completed a general management program at IESE Business School and a program for ESADE and PWC directors. She has spent a great deal of her professional career with the Iberdrola group, where she has held, among others, the positions of director of Operations at Iberdrola Renovables (2001-2007), director of Technology and Regulation in Renewable Business (2007-2014), director of Iberia and International at Iberdrola Renovables (2014-2018) and managing director of Iberdrola España (March 2018-June 2022). She has for many years been an active member of various institutions or associations, including the Spanish Chamber of Commerce, the Elcano Royal Institute, the Círculo de Empresarios, the Association of Spanish Electricity Companies (AELEC) or Enerclub, among others. She is currently a director of Mapfre GLOBAL RISKS and Mapfre ASISTENCIA (MAWDY), as well as chairwoman of the Mapfre GLOBAL RISKS Advisory Board. She is also a director of Indra Sistemas, S.A. and FCC Servicios Environmental.
